The commitment.
Every dollar that comes into UMMA is a trust. The board, the audit, the quarterly reviews — none of that exists for compliance. It exists so the family in Yemen who gets a food parcel knows it came from people who refused to look away.
Governance Policies
These policies ensure ethical operations, prevent conflicts, and protect the interests of our donors and beneficiaries.
Conflict of Interest
All board members and key staff must disclose any personal, financial, or professional interests that could influence their decisions. Conflicts are reviewed and resolved by the full board.
Compensation Policy
Board service is voluntary and uncompensated. Executive compensation is reviewed annually by the board and benchmarked against comparable nonprofit organizations.
Whistleblower Protection
We maintain a confidential reporting channel for concerns about fraud, misuse of funds, or ethical violations. Reports are investigated independently and reporters are protected from retaliation.
How the Board Operates
Regular Meetings
The board convenes quarterly for full reviews of financial performance, program outcomes, compliance, and strategic direction. Special sessions are called as needed.
Financial Oversight
The board reviews and approves the annual budget, monitors spending against projections, and commissions independent audits to verify financial integrity.
Program Accountability
Each program reports measurable outcomes to the board quarterly. Programs that do not meet their impact targets are reviewed, adjusted, or restructured.
Legal & Regulatory Compliance
The board ensures compliance with all federal, state, and local regulations including IRS requirements, OFAC sanctions screening, and state charitable solicitation laws.
